We also assist companies in complex operations, particularly in the context of reorganisation operations (mergers, subsidiary creation, etc.), equity investments and issues of securities.

 

We are regularly contacted in the context of alliances and commercial or industrial partnerships (joint subsidiary, transfer of activities, etc.), in France or abroad, in order to advise our clients on the cooperation schemes and structures between companies.

 

We also intervene in the framework of corporate governance, most often related to the family transfers of businesses.

 

In addition, we frequently intervene in the setting up of schemes for the profit-sharing of executives in the capital of companies, within the framework of regulated regimes ("stock options", allocations of free shares, business creator share warrants, etc.) or unregulated regimes.

 

Finally, we intervene alongside shareholders, majority or minority, for disputes or litigation between shareholders, with the desire to favour a settlement protecting the interests of the company, by negotiated means or legal means.
